Bank Brokers works for the buyer. We can best be described as a “finder” of banks for sale and always represents the buyer. We work with our clients to define the type and description of banks that will best meet their needs. That definition includes such factors as the type of charter, location of the bank, size of investment necessary, etc. We'll help you navigate the maze of filing and regulatory issues associated with bank acquisition. Then, we go to work for the client contacting banks that meet that description. Once a bank is located and both the bank and the client have a legitimate interest, we make the introduction. From there, we assist our client in closing the transaction.

The acquisition of a bank that meets your needs can be an arduous and lengthy process. Bankers will only discuss the possibility of being acquired or merging with someone they know will manage the communication process with confidentiality, integrity, and diligence with sensitivity of their position.  
 
Because Bank Brokers LLC operates on a national level, we have the integrity, knowledge and resources required to communicate with any bank CEO or owner and potentially open discussions concerning a possible acquisition. We understand the required processes and regulatory requirements and provide a total turnkey process for our clients in making an acquisition that meets their objectives. This process includes the following:  
 
 
A. Engagement.  At the point of engagement we will review the client’s objectives and, when necessary, educate the client regarding the acquisition process. We facilitate the development of the client’s acquisition strategy based on financial strength, goals and objectives while ensuring proposed activities are permissible under regulation. Using that strategy, we will then develop a list of targeted bank(s) for the client’s consideration.
 
B. Researching target banks.  Once the client’s strategy has been clearly defined, we will establish a list of potential bank targets utilizing financial filters that will enable us to identify what banks meets the client’s objectives. This process will allow us to quickly identify and rank the banks that best fit within the client’s parameters. In addition, the potential target’s current business and the expertise of its staff are examined to ensure the achievement of the client’s goals and objectives.  
 
C. Discussions with Sellers. After a list of targeted banks has been developed, we will then contact the targeted bank CEO’s to confidentially discuss the opportunity for acquisition. This process may require repeated conversations but, once the target shows interest, we will alert our client and begin the discussion process between the parties.  
 
D. Presentation of financials, market share analysis and community demographic information of targeted bank(s). Bank Brokers LLC will develop summary financial information on the targeted bank(s) for the client and report any particular matters of significant importance that may affect negotiations.  Assuming continued client interest, we will provide detailed financial information, along with any internal information we may have gathered in our discussions with the target’s stakeholders. a market share analysis that compares the target its competition, and community demographic information.  
 
E. Discussions with appropriate banking regulatory authorities.  Prior to filing the application, we will accompany the client or represent the client in a pre-filing meeting with the appropriate regulator. This process helps ensure the application approval and sets the stage for future communications with the regulatory agency.   
 
F. Assist client in discussions with selected bank(s) to formalize offer. When requested, we actively assist the client in targeted bank communications during the due diligence process. Although Bank Brokers LLC does not provide financial, legal or due diligence advice, we can recommend resources in all areas of the final review and acquisition process. We will assist the client in making a formal offer to purchase the bank, if desired.   
 
G. Close of Sale.  If the client is successful in acquiring the targeted bank and the application has been approved, we will assist the client in the closing process, and change of control. We work closely with the client in every aspect of the process from date of engagement through change of control.  
 
H. Our Goal. Our goal is for you to be successful in your efforts to acquire a financial institution that meets your needs. Bank ownership is an involved process, and we work with you through every part of the process that hopefully will enable you to acquire the right financial institution for your needs. 
 
I. Timeline for completion.  The process to acquire a financial institution is not easy nor fast. The approximate amount of time in completing an acquisition is 12-18 months or longer. This is controlled by the banking agencies.
